Welcome to Media Drive. These Terms of Service ("Terms") govern your access to and use of the Media Drive website, tools, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, using our tools, or accessing our content, you confirm that:

  • You are at least 13 years of age
  • You have the legal capacity to enter into these Terms
  • You will comply with all applicable laws and regulations

If you are using Media Drive on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

Creating an Account

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your password
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately of any unauthorized use of your account

Account Restrictions

  • One person may not maintain multiple free accounts
  • You may not share your Supporter/Pro account credentials with others
  • You may not use another user's account without permission
  • We reserve the right to suspend or terminate accounts that violate these Terms

3. Services and Access

Free Tier

Access to:

  • All calculators and utility tools
  • Full knowledge base (wiki) content
  • Newsletter subscription (opt-in)
  • Read-only access to editorial content

Supporter Tier ($5/month or $39/year)

All Free Tier benefits, plus:

  • Early access to new tools before public release
  • Quarterly founder letters with insights and roadmap updates
  • Supporter badge and recognition
  • Priority consideration for feature requests

Service Availability

  • We strive for 99% uptime but do not guarantee uninterrupted access
  • Tools may be temporarily unavailable for maintenance or updates
  • We reserve the right to modify or discontinue features with reasonable notice

4. Acceptable Use Policy

You agree NOT to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to reverse-engineer, decompile, or hack our tools or infrastructure
  • Scrape, spider, or automate access to the Services without permission
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or harm other users or our team
  • Impersonate another person or entity
  • Use the Services to compete with or replicate Media Drive's offerings
  • Resell or redistribute our tools, content, or data without authorization

Professional Use

Our tools are designed for professional use. You may:

  • Use calculator outputs in client presentations and reports
  • Share links to our tools with colleagues and clients
  • Embed our tools on internal agency intranets (contact us for approval)

You may NOT:

  • White-label our tools as your own
  • Scrape our data to build competing products
  • Use our API (if/when available) beyond documented rate limits

5. Intellectual Property

Our Content

All content, tools, calculators, designs, logos, and software on Media Drive are owned by Media Drive or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes.

User-Generated Content

If you submit content (comments, feedback, suggestions), you grant us a worldwide, royalty-free license to use, reproduce, and display that content for the purpose of operating and improving the Services.

AI-Generated Analysis

Tool outputs that include AI-generated context or recommendations are provided "as-is" for informational purposes. You are responsible for verifying and validating all outputs before using them in professional decision-making.

6. Payment and Billing

Subscription Terms

  • Supporter subscriptions are billed monthly or annually, as selected
  • Billing occurs automatically on your renewal date
  • Prices are subject to change with 30 days' notice
  • You must provide valid payment information to maintain a paid subscription

Refunds

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Refunds available within 14 days of initial purchase
  • Refund requests should be sent to support@mediadrive.pro

Cancellation

  • You may cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to Supporter features until the end of the paid period
  • No refunds for early cancellation (except within the 14-day window for annual plans)

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Accuracy, reliability, or completeness of tools and calculators
  • Fitness for a particular purpose
  • Uninterrupted or error-free operation
  • Security of data transmission

Calculator Accuracy

While we strive for accuracy in all calculations:

  • You are responsible for verifying all outputs before use
  • We are not liable for decisions made based on calculator results
  • Tools are designed to assist, not replace, professional judgment

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIA DRIVE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Data loss or corruption
  • Errors or omissions in content or calculations
  • Damages resulting from unauthorized access to your account

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM (OR $50, IF YOU HAVE NOT PAID US).

9. Indemnification

You agree to indemnify and hold harmless Media Drive, its founders, employees, and partners from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your submission of content

10. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page, with the "Effective Date" updated accordingly.

For material changes, we will:

  • Provide at least 30 days' notice via email
  • Offer the option to cancel your subscription if you disagree

Your continued use of the Services after changes constitutes acceptance of the updated Terms.

12. Termination

By You

You may terminate your account at any time by:

  • Canceling your subscription from account settings
  • Emailing support@mediadrive.pro to request account deletion

By Us

We may suspend or terminate your access to the Services if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent or abusive behavior
  • Required by law or legal process
  • We discontinue the Services entirely (with reasonable notice)

Upon termination:

  • Your access to Supporter features ends immediately
  • Your personal data will be deleted within 30 days (subject to legal retention requirements)
  • Some provisions of these Terms (indemnification, limitation of liability) survive termination

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles.

Informal Resolution

Before filing any formal claim, you agree to contact us at support@mediadrive.pro to attempt to resolve the dispute informally.

Arbitration (Optional)

For disputes that cannot be resolved informally, either party may elect binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Detroit, Michigan.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

14. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Media Drive.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
